1. Introduction

Welcome to CIL Private Investors Network ("CILPIN," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and services, including membership registration, investment opportunities, project submissions, and all related features.

By accessing or using our platform, applying for membership, or otherwise engaging with our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use our platform or services.

These Terms constitute a legally binding agreement between you and CILPIN. Please read them carefully before proceeding.

2. Definitions

• "CILPIN," "we," "us," "our" refers to CIL Private Investors Network, its officers, directors, employees, and agents.
• "Platform" refers to the CILPIN website, mobile applications, and all related services and content.
• "Member," "you," "your" refers to any individual or entity that registers for membership, accesses the platform, or uses our services.
• "Membership" refers to the three tiers: Associate Member, Investor Member, and Strategic Member.
• "Investment Opportunity" refers to any project, deal, or investment listed on the platform.
• "Project Owner" refers to any member who submits a project for funding or investment consideration.
• "Services" refers to all products, features, and offerings provided by CILPIN.
• "Content" refers to all information, data, text, images, and materials available on the platform.

3. Membership

3.1 Membership Tiers

CILPIN offers three membership tiers:

• Associate Member: Entry-level membership with access to select investment opportunities and co-investment options.
• Investor Member: Full membership with access to all investment opportunities, priority deal access, and project submission capabilities.
• Strategic Member: Elite membership with premium benefits, including first-look access, dedicated account manager, and priority project review.

3.2 Membership Application

• All membership applications are subject to review and approval by CILPIN.
• Applicants must provide accurate, complete, and truthful information during the application process.
• CILPIN reserves the right to accept or reject any application at our sole discretion.
• Membership fees are non-refundable except as expressly provided in these Terms.

3.3 Eligibility

• You must be at least 18 years of age to apply for membership.
• You must have the legal capacity to enter into a binding agreement.
• You must not be prohibited from using our services by any applicable law or regulation.
• You must provide valid identification and undergo our verification process.

3.4 Membership Fees and Payment

• Membership fees are due annually in advance.
• Fees are subject to change with prior notice to members.
• Payment must be made through approved payment methods.
• Failure to pay membership fees may result in suspension or termination of membership.

3.5 Membership Termination

• Members may terminate their membership at any time by providing written notice.
• CILPIN may terminate or suspend membership for violation of these Terms, fraudulent activity, or any other reason at our sole discretion.
• Upon termination, access to the platform and all related services will be revoked.
• No refunds will be issued for terminated memberships, except as required by law.

4. Investment Opportunities

4.1 General

• CILPIN provides a platform for members to access and invest in carefully vetted investment opportunities.
• All investment opportunities are subject to availability and may be withdrawn at any time.
• CILPIN does not guarantee returns on any investment.
• All investments carry risk, and members should conduct their own due diligence.

4.2 Due Diligence

• CILPIN conducts due diligence on all investment opportunities before listing them on the platform.
• Members are encouraged to conduct their own independent due diligence before making any investment.
• CILPIN provides information and documentation about each opportunity but does not provide financial advice.

4.3 Co-Investment

• All membership tiers have access to co-investment opportunities.
• Co-investments allow members to pool resources with other verified investors.
• Terms and conditions of each co-investment opportunity will be clearly communicated.

5. Project Submissions

5.1 Eligibility

• All members can submit projects for review and funding consideration (with different limits per tier).
• Associate members: 1-3 projects per year.
• Investor members: 5-10 projects per year.
• Strategic members: 20 projects per year.

5.2 Submission Process

• All project submissions must be complete, accurate, and truthful.
• Projects are subject to review by CILPIN's investment committee.
• CILPIN reserves the right to accept or reject any project at our sole discretion.
• Approved projects will be listed on the platform for member review and investment.

5.3 Project Owner Responsibilities

• Project owners must provide accurate and timely information about their projects.
• Project owners must comply with all applicable laws and regulations.
• Project owners must use funds as described in their project submission.
• Project owners must provide regular updates to investors.

6. User Conduct

You agree to use the platform and services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or these Terms.
• Provide false, inaccurate, or misleading information.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Engage in fraudulent, deceptive, or manipulative activities.
• Interfere with the proper functioning of the platform.
• Access or attempt to access unauthorized areas of the platform.
• Harass, threaten, or harm other members or users.
• Post or transmit content that is defamatory, obscene, or offensive.
• Use the platform for any competitive or commercial purposes without our prior written consent.

7. Intellectual Property

7.1 Ownership

• All content, materials, and intellectual property on the platform are owned by or licensed to CILPIN.
• You may not copy, reproduce, distribute, or create derivative works from our content without our express written permission.
• The CILPIN name, logo, and branding are trademarks of CIL Private Investors Network.

7.2 User Content

• You retain ownership of content you submit to the platform.
• By submitting content, you grant CILPIN a non-exclusive, royalty-free license to use, reproduce, and display your content in connection with our services.
• You represent that you have the rights to submit any content you provide.

8. Confidentiality

• Members may have access to confidential information about other members, investment opportunities, and CILPIN's operations.
• You agree to maintain the confidentiality of all non-public information obtained through the platform.
• You may not disclose confidential information to third parties without proper authorization.
• This obligation survives termination of your membership.

9. Disclaimers

• No Investment Advice: CILPIN does not provide financial, legal, or investment advice. All information is for informational purposes only.
• No Guarantee: We do not guarantee the accuracy, completeness, or reliability of any information on the platform.
• Risk of Loss: All investments carry risk. Past performance is not indicative of future results.
• Platform Availability: We do not guarantee that the platform will be available at all times without interruption.
• Third-Party Content: We are not responsible for content provided by third parties or external links.

10. Limitation of Liability

To the maximum extent permitted by law, CILPIN and its officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the platform or services, including but not limited to:

• Loss of profits, revenue, or business opportunities.
• Loss of data or confidential information.
• Investment losses or financial damages.
• Any unauthorized access to or use of your account.
• Any errors, omissions, or inaccuracies in content.

11. Indemnification

You agree to indemnify, defend, and hold harmless CILPIN and its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, and expenses arising out of or in connection with:

• Your breach of these Terms.
• Your violation of any law or regulation.
• Your misuse of the platform or services.
• Your infringement of any third-party rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

13. Dispute Resolution

• Negotiation: Any dispute shall first be attempted to be resolved through good-faith negotiations.
• Mediation: If negotiation fails, the dispute shall be submitted to mediation by a mutually agreed mediator.
• Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the rules of the Nigerian Arbitration and Conciliation Act.
• Court: If arbitration is not applicable or unsuccessful, the dispute shall be brought before the courts of Nigeria.

14. Amendments

CILPIN reserves the right to modify or update these Terms at any time. We will notify members of significant changes through our platform or via email. Your continued use of the platform after any changes constitutes your acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein, constitute the entire agreement between you and CILPIN regarding your use of the platform and services. They supersede all prior agreements, understandings, and communications.
